SUMMARY OF OPERATIONS

Boston Fiduciary Realty Partners Fund, LLC (the “Company” or the “Fund”) was formed for the purpose of acquiring and managing residential multi-family and hospitality real estate assets. The Company will seek to acquire and manage high quality and distressed added value real estate assets with the intention of providing participating investors with a real estate focused investment opportunity that combines income, principal investment growth, and elements of capital preservation. The Fund is managed by Boston Fiduciary Fund Management LLC (“BF Fund Management” or the “Fund Manager”), a Massachusetts company formed in 2017 that specializes in real estate asset acquisition and management. BF Fund Management is managed by three highly experienced real estate and finance professionals with a combined 110 years of experience in the United States real estate market.

The Fund’s primary focus is creating and maintaining investor wealth through local alternative real estate investment strategies. The management team’s collective abilities provide an advantage over investing individually by allowing the Fund to quickly and efficiently address any real estate acquisition and management issues. The Fund’s ability to invest with aggregated capital also provides greatly enhanced negotiation leverage as the Fund can close acquisitions quickly and without the typical financing delays encountered with other purchasers that require institutional financing to close on a property. Since the Fund’s primary managers are directly involved in the placement of investment funds into select real estate assets, we can manage our investments more actively than large institutional investors. By investing in a Fund with experienced and specialized management, investors are freed from the complexities and time required for individual property ownership.

Over the years, our individual Fund managers have seen extreme market fluctuations; because of this, the Fund management team is always researching market trends to develop strategies allowing us to mitigate this volatility and reduce negative effects on our investors. William Matt

William T. Matt

Managing Member

Mr. Matt possesses over 35 years of experience in real estate and construction. His ability to seek, identify and realize quality real estate opportunities have been unmatched. Mr. Matt has owned and operated several real estate and building construction concerns for over three decades. Such concerns have developed and managed commercial, industrial, multi-family residential, high rise, mixed use, and infrastructure projects, in excess of $200 million.

A diverse sample of Mr. Matt’s work include: 18 story, 165,000 square foot luxury high-rise mixed use residential condominium/apartment complex with 4 story, 40,000 square foot sub-terrain parking garage, including design, entitlement, construction, sales and management (Boston, Massachusetts); 145 unit residential townhouse complex, construction completion, sales and management for financial institution work-out (Randolph, Massachusetts); 40 Acre land investment/assemblage for single-family residential development, end sale to most recognized home builder in the United States (Canton, Massachusetts); 56 Unit Residential multi-family complex, including, construction completion, sales and management for financial institution work-out (Easton, Massachusetts); 40 acre residential subdivision, including planning & zoning, entitlements, design and infrastructure development including municipal sewer pump station (Stoughton, Massachusetts); 24 unit planned luxury condominium development, including design, entitlement, construction, sales and management (Stoughton, Massachusetts); 30,000 square foot office/industrial complex, including design, entitlement, construction, sales and management (Foxborough, Massachusetts); 6 acre, 70,000 square foot multi-unit industrial facility investment (Brockton, Massachusetts).

Mr. Matt has also engaged with some of the largest financial institutions and mortgage brokers for the raising of capital and purchasing of assets. Such organizations include Lehman Brothers, Citizens Bank, The Union Labor Life Insurance Co., Cooper-Horowitz, FDIC and Lend-Lease.

Mr. Matt credits his earliest success to his course study at Wentworth Institute of Technology in Architectural Engineering. In addition, Mr. Matt holds multi-state real estate, building and construction engineering licenses.

Mr. Pendlebury lends over 45 years of unmatched experience across all building types from around the world to Boston Fiduciary Realty Partners. He organizes and manages teams of architects, planners, engineers and designers from around the world for very special projects. His many years of experience working to serve the economic and iconic needs across all building types has assured that new projects throughout the world will be cared for efficiently, effectively and passionately. His reputation is to assure that projects are delivered on time and on budget to suit the specific needs of each particular client.

Mr. Pendlebury had recently served with TRO Jung|Brannen since 1984, first as Director of Interior Design and Director of Marketing, and as President for 13 years. Throughout his career, Mr. Pendlebury has managed even the largest projects with the care and attention of an individual endeavor.

A few of Duncan’s past projects include: Al Bateen Tower in Dubai; a 50-story luxury apartment high rise, and a 27-story, five-star hotel, World Trade Center Residences in Dubai; a 1,400,000 square foot complex with 377 luxury residences that stands 30 stories along the shorter leg and 42 stories at the tall end with below-grade parking to accommodate 687 cars, Al Jaber Tower in Dubai; a 40 floor mixed use high-rise with 277 luxury hotel rooms, SZR Tower in Dubai; a 60-story luxury office high-rise with 707,000 square feet, Abu Dhabi National Oil Company Headquarters in Abu Dhabi; full interior design services for 650,000 square foot executive headquarters, Westin Hotel & Residences in Providence; a 360 foot, 400,000 square foot expansion to the existing hotel, State Street Financial Center in Boston; design of a 36-story, 1,000,000 square foot office tower, Providence Public Safety Complex in Providence; a 140,000-square-foot Public Safety Complex, Raytheon Headquarters in Waltham; new design of 147,000 square foot executive headquarters, Citizens Bank headquarters in Providence; a 200,000 square foot office building to house the headquarters of Citizen's Bank; Merrill Lynch Offices in Boston, Houston, Greensboro, Buffalo, Dallas, Chicago, and Greenwich; Interior design and programming for branch offices, American International Group (AIG) Offices in New York, New York; Interior design 100,000 square foot office, Ten Park Row in Providence; design of a new 22-story luxury apartment tower with 180 units.

Mr. Pendlebury has guest lectured at Harvard University and served on the Professional Curriculum Development Committee at Wentworth Institute.

Mr. Pendlebury is a registered architect in 24 states, and has received various awards for his projects ranging from: “Boston Building of the year” for One Lincoln Street, “Recognition of Achievement” for MIT Lincoln Lab, and “Excellence in Lighting Design” for Office Pavilion. Mr. Pendlebury received a degree from Wentworth Institute of Technology in Architectural Engineering.

William Wolman contributes over 30 years of real estate investment experience to Boston Fiduciary Realty Partners. In 1992, Mr. Wolman joined UBS Asset Management. As Vice President in the UBS Private Client Group in New York, Mr. Wolman was responsible for preparing investment offering memoranda, drafting and negotiating term sheets, evaluating project budgets and cash flow projections and coordinating and managing the due diligence and closing process. The Private Client Group at UBS primarily evaluated real estate investment opportunities for overseas institutional clients seeking investments in stabilized, non-stabilized and development assets located throughout the United States.

In 1998, Mr. Wolman was appointed Vice President at Credit Suisse in New York in the Principal Transactions Group and CMBS finance area of Fixed Income. Mr. Wolman originated and closed more than $2 Billion in fixed and floating rate loans sold through securitizations. He was responsible for negotiating term sheets, applications and loan agreements with Borrowers and subordinate lenders, as well as coordinating the underwriting due diligence process with clients, in- house staff and 3rd-party consultants. Additionally, he responded to rating agency and CMBS investor questions regarding loan underwriting and structuring, underwrote high-risk real estate investments held as assets on Credit Suisse’s balance sheet. Mr. Wolman structured, negotiated and closed forward loan commitments, equity joint ventures and mezzanine loans for site acquisitions, speculative developments and asset repositioning opportunities. Mr. Wolman was also responsible for managing nearly $750 million in assets held on Credit Suisse’s balance sheet, management of borrower/partner relationships, approval of operating budgets, construction draw requests and change orders, monitoring project lease- up and negotiating asset sale contracts.

In 2003, Mr. Wolman joined CBRE in San Francisco. At CBRE, Mr. Wolman was responsible for soliciting and negotiating mortgage loans, working capital loans and equity investments from institutional and private capital sources for real estate development and investment management clients. Additionally, he was responsible for preparing and distributing financing requests, evaluating and reviewing proposals with clients, structuring /negotiating term sheets, and managing the loan/equity investment closing due diligence process. Mr. Wolman also prepared various consulting reports for internal evaluation by clients including site development potential and financing scenarios, single-asset and portfolio recapitalization strategies, market evaluation and demand analyses, corporate finance and business development strategies. Mr. Wolman continues to apply his real estate investment, development and finance expertise through many real estate sectors throughout the United States.

Mr. Wolman received a B.A. in History from Trinity College in Hartford, CT in 1989 and then earned a Diploma in Real Estate Finance, in May 1992 from New York University’s Real Estate Program where he also was awarded scholarships from the Realty Foundation and Mortgage Bankers Association of New York. Additionally, Mr. Wolman has earned NASD Certifications for Series 7, Series 63 and Series 24.

The Company is offering a minimum of 600 and a maximum of 2,000 Membership Units at a price of $50,000 per Unit. Upon completion of the Offering between 600 and 2,000 Membership Units will be issued.

The Boston Fiduciary Realty Partners Fund, LLC 506(c) Investor Portal provides the capability for prospective accredited investors to become approved as a “prospect", review accreditation requirements, request delivery of the Private Placement Memorandum (“PPM”) with multiple delivery options (print, electronic, flip book), access management contact information, and view the Company’s SEC Form D filing.

For the Company’s management team, this allows for controlled access to the PPM with the prospect providing contact information and, after approval, being added to the investor prospect database which provides management an effective tool for investor prospect relations and management.

Once a prospective investor has decided they are interested in investing, we can then upgrade the prospect account to “Investor” level access. This access now provides the capability for investors to download subscription documents, specific process information for investing and instructions on transfer of investment funds, investor relations contact information, and the ability to see in real time statistics on the offering.
